• You may read and share links. You may not copy, scrape, or republish the content.

• Booking a meeting does not create an advisory relationship or obligate either of us to anything.

• The site is provided as is, and our liability is limited.

1. Who we are and what these terms cover

These Terms and Conditions ("Terms") are a binding agreement between you and Five Winds covering your access to and use of fivewindssl.com and any content, video, calendar, or other feature available through it (together, the "Site").

By using the Site you agree to these Terms. If you do not agree, do not use the Site.

These Terms do not govern any investment, subscription, loan, joint venture, or other relationship you may later enter into with Five Winds or an affiliate. Those relationships are governed by their own definitive documents, which control over anything on this Site.

2. Who may use the Site

The Site is intended for adults in the United States who are exploring the Five Winds platform in a professional or investment capacity. You must be at least 18 years old to use it. By using the Site you represent that you meet that requirement and that you are not prohibited from using it under any applicable law.

The Site is not a resident placement service and does not provide care, medical, or housing advice. If you are seeking care for a family member, contact the communities directly.

3. Informational only; no offer

The Site is for general information about Five Winds, the senior housing market, and the communities we operate or have operated. It does not constitute an offer to sell, or a solicitation of an offer to buy, any security or interest in any fund, property, or entity. Nothing on the Site is an offering document, a private placement memorandum, a prospectus, or investment, tax, legal, or accounting advice.

Any offer, if made, will be made only through definitive offering documents provided directly by Five Winds to persons Five Winds determines are eligible, and only in jurisdictions where such an offer is lawful. If the Site and those documents differ, the documents control.

Operating results, forward-looking statements, third-party data, and references to named communities are subject to the disclosures on our Legal page, which are incorporated into these Terms.

4. No advice; no reliance

Nothing on the Site is a recommendation to buy, sell, or hold any security, or to adopt any investment, tax, or legal strategy. You are solely responsible for your own decisions and for obtaining your own professional advice. You agree not to rely on the Site as the basis for any investment decision.

5. Scheduling a meeting

The Site lets you request a meeting through an embedded calendar operated by our scheduling provider. When you book:

• You agree to provide accurate contact information.

• You understand that a booking is a request. Five Winds may decline, reschedule, or cancel any meeting at its sole discretion, and may ask for information about you or your firm before or during the meeting.

• A meeting does not create an advisory, fiduciary, or client relationship, and does not obligate Five Winds to offer you any security or obligate you to invest.

• If you cannot attend, cancel or reschedule through the link in your confirmation email, or tell us.

 

6. Communications

By providing your email address or phone number through the Site, you agree that Five Winds and its service providers may contact you about your request, including meeting confirmations, reminders, and follow-up. Where you provide a mobile number and book a meeting, you agree to receive confirmation and reminder text messages about that meeting; message and data rates may apply, and you can reply STOP to opt out. Calls and texts about your request may be made using automated technology; consent is not a condition of doing business with us.

We do not send marketing newsletters or bulk promotional email from the Site. Any follow-up email will include a way to stop further messages.

7. Confidential materials

If, after a conversation, Five Winds shares investor materials with you, those materials are confidential and are provided only for your evaluation of a potential relationship with Five Winds. You agree not to copy, distribute, forward, or publish them, in whole or in part, without our written consent, and to return or destroy them on request. Any separate confidentiality or non-disclosure agreement you sign controls over this section.

8. Ownership and license

The Site and everything on it, including text, photographs, video, graphics, logos, trademarks, trade names, page layout, and the selection and arrangement of content, is owned by Five Winds or its licensors and is protected by copyright, trademark, and other laws. "Five Winds Senior Living" and related marks are trademarks of Five Winds.

We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own informational, non-commercial use. You may link to the Site and share links to its pages. You may not:

• Copy, reproduce, download, republish, or distribute Site content, other than the incidental copies your browser makes;

• Scrape, crawl, or harvest content or data from the Site by automated means, including for training machine learning or AI models;

• Frame or mirror any part of the Site;

• Use our marks, community names, or photographs without written permission;

• Remove any copyright, trademark, or other notice.

All rights not expressly granted are reserved.

9. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;

• Submit false, misleading, or impersonating information, including in the meeting calendar;

• Probe, scan, test, or attempt to bypass the security of the Site or any connected system;

• Introduce malware, or take any action that imposes an unreasonable load on the Site or interferes with its operation;

• Use the Site or any information obtained from it to send unsolicited communications or to solicit Five Winds' investors, partners, employees, or residents;

• Book meetings in bulk, for resale, or for any purpose other than a good-faith conversation with Five Winds.

We may investigate suspected violations, suspend or block access, cancel bookings, and cooperate with law enforcement, in each case at our sole discretion and without notice.

10. Third-party services and links

The Site embeds and links to services we do not control, including the meeting calendar, hosted video, analytics, and outside sources for market data. Those services have their own terms and privacy policies, which apply when you use them. We are not responsible for their content, availability, security, or practices, and a link is not an endorsement. Use them at your own risk.

11. Feedback

If you send us comments, ideas, or suggestions about the Site or our business, you grant Five Winds a perpetual, irrevocable, royalty-free license to use them for any purpose, without obligation to you. Do not send us information you consider confidential unless we have signed a confidentiality agreement covering it.

12. Privacy

Our Privacy Policy describes how we collect, use, and share personal information through the Site. By using the Site you acknowledge that policy.

13. Disclaimer of warranties

The Site is provided "as is" and "as available," without warranty of any kind. To the fullest extent permitted by law, Five Winds disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that the Site is free of viruses or other harmful components; or that any information on the Site is accurate, complete, or current. We may change, suspend, or discontinue any part of the Site at any time without notice.

14. Limitation of liability

To the fullest extent permitted by law, Five Winds and its affiliates, principals, members, managers, officers, employees, agents, licensors, and service providers (the "Five Winds Parties") will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Site or these Terms, whether in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

The total aggregate liability of the Five Winds Parties for all claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the exclusions and limitations above apply to the maximum extent permitted, and the Five Winds Parties' liability is limited accordingly.

15. Indemnification

You agree to defend, indemnify, and hold harmless the Five Winds Parties from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

16. Governing law and disputes

These Terms and any dispute arising out of or relating to the Site are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules.

Before filing any claim, you agree to contact us at the address below and give us 30 days to try to resolve it informally. If we cannot, any claim will be brought exclusively in the state or federal courts located in [COUNTY, STATE], and you consent to the personal jurisdiction of those courts. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

To the extent permitted by law, any claim relating to the Site must be filed within one year after it arises, or it is permanently barred. You and Five Winds each waive any right to a jury trial and agree that claims may be brought only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding.

17. Changes to the Site and these Terms

We may change these Terms at any time by posting a revised version on this page and updating the effective date. Changes take effect when posted. If a change is material, we will make reasonable efforts to call attention to it, such as a notice on this page. Your continued use of the Site after a change means you accept the revised Terms. If you do not agree, stop using the Site.

18. General

• Entire agreement. These Terms, together with the Privacy Policy and the disclosures on the Legal page, are the entire agreement between you and Five Winds regarding the Site, and supersede any prior understandings about the Site.

• Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms remain in effect.

• No waiver. Our failure to enforce any provision is not a waiver of it.

• Assignment. You may not assign these Terms. We may assign them to an affiliate or successor.

• No third-party beneficiaries. Except for the Five Winds Parties under Sections 14 and 15, these Terms create no rights in anyone other than you and Five Winds.

• Headings and summaries. Headings and the short version at the top are for convenience only and do not affect interpretation; the full text controls.

• Contact. Notices to Five Winds must be sent to the contact below. We may send notices to you at the email address you provided or by posting on the Site.
